This agreement is made between Kernel Confidential, Silver Crown Media DBA Forever Icon LLC and Member.

Annual Membership fee is $19.99 per year. Payments are automatically deducted through Squarespace/Stripe. All payments made to Kernel Confidential, Silver Crown Media DBA Forever Icon LLC are final and non-refundable, non-transferable, no credits.

1. All rights reserved. Unauthorized reproduction, distribution, or republication of this content in any form is strictly prohibited without written permission.

2. DISCLAIMER OF GUARANTEES: Kernel Confidential, Silver Crown Media DBA Forever Icon LLC makes no guarantees at all, representations or warranties, express or implied, regarding the likelihood of referrals, auditions and/or bookings generated through membership.

3. CONTRACT TERM & TERMINATION: This Agreement is effective for a term of twelve (12) months beginning from the date of transaction. Payment may be billed on an annual basis. The Agreement will automatically renew for successive twelve (12) months.

• You must login your account to cancel subscription before it renewals. No refunds, no exchanges, partial or otherwise, will be provided for cancellation.

• Kernel Confidential, Silver Crown Media DBA Forever Icon LLC reserves the right to terminate this Agreement at any time and for any reason. At our discretion, Kernel Confidential, Silver Crown Media DBA Forever Icon LLC terminates the Agreement before the completion of the twelve (12) month term, a prorated refund will be issued based on the remaining months if the membership fee were paid in full at the time of termination.

4. MEMBERSHIP REQUIREMENTS: By executing this Agreement, the member agrees to the following:

• Abide by high standards of ethics and professionalism, including honesty, integrity, fairness, and respect in all interactions, fellow members, and the public. Members must refrain from engaging in any conduct on our website including any comments made on the website that could damage the reputation of Kernel Confidential, Silver Crown Media DBA Forever Icon LLC or its members. Any violation of ethical standards may result in membership termination at the discretion of Kernel Confidential, Silver Crown Media DBA Forever Icon LLC.

5. PRIVACY & DATA PROTECTION: Kernel Confidential, Silver Crown Media DBA Forever Icon LLC will use commercially reasonable measures to safeguard your personal information. We do not share, sell, or disclose your personal information to third parties without your express consent unless required by law or necessary for the provision of membership services. Kernel Confidential, Silver Crown Media DBA Forever Icon LLC may share information with third-party services needed to process payments, manage memberships, or enhance membership experiences. Personal information will be securely stored and protected against unauthorized access.

6. DISPUTE RESOLUTION & GOVERNING LAW: Any disputes arising out of or related to this Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. The parties agree that any legal action or proceeding relating to this Agreement shall be brought exclusively in the state or federal courts located in Illinois.

Before initiating litigation, the parties agree to attempt to resolve disputes through mediation. If mediation fails, either party may pursue legal remedies.

7. PHOTO & VIDEO RELEASE: By signing this Agreement, member grants Kernel Confidential, Silver Crown Media DBA Forever Icon LLC the irrevocable right and permission to use, publish, and distribute photographs, videos, or other media in which the members likeness, business name, or logo may appear. These materials may be used for promotional, marketing, advertising, educational purposes, or other business-related purposes in any medium now known or later developed, without compensation to the member. The member waives any right to inspect or approve the final product or any written copy that may be used in connection therewith. Kernel Confidential, Silver Crown Media DBA Forever Icon LLC agrees not to alter the materials in a way that misrepresents the member.

8. NON-TRANSFERABILITY OF MEMBERSHIP: Membership in Kernel Confidential, Silver Crown Media DBA Forever Icon LLC is non- transferable and may not be assigned or delegated to any other individual or entity.

9. NON-PAYMENT & LIABILITY LIMITATION: Membership payments are automatically deducted on their anniversary date date. Kernel Confidential, Silver Crown Media DBA Forever Icon LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to this Agreement or actions taken by other members or third-party vendors.

10. SEVERABILITY CLAUSE: If any provision of this Agreement is found to be unenforceable or invalid under applicable law, such provision shall be ineffective to the extent of such unenforceability or invalidity, without affecting the remaining provisions of this Agreement.

11. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral. Any modification or amendment to this Agreement must be made in writing and signed by both parties.

By agreeing to this document, the member agrees to the terms and conditions outlined in this Agreement.
